Terms and Conditions
This software (the “Software”) is provided by Omnicon Automation (collectively “we” or “us”). These terms and conditions (the “Terms and Conditions”) govern your use of the Software. If you are not willing to accept these Terms and Conditions you may not use the Software. We reserve the right to change these Terms and Conditions, and any other terms and conditions contained elsewhere on the Software, at any time. It shall be your responsibility to check regularly to ensure that you agree to any such amendments. If you do not agree to any changes that we have made, you should stop using the Software immediately.
Reliance on information posted and Disclaimer
Except for the limited warranty set out under Warranties below, the Software is provided to you on an “as is” and “as available” basis without any representation, endorsement or warranty of any kind, express or implied (by law or otherwise). Accordingly, to the maximum extent permitted by law, we exclude all other representations, warranties, conditions and other terms. Specifically, we do not warrant: (1) that any functions on the Software will be uninterrupted or error-free; (2) that the information on the software is correct, accurate and complete; or (3) that the Software or the server that makes it available, are free from bugs, defects or viruses. The views, expressions and opinions appearing on any interactive portion of the Software are the views, expressions and opinions of the contributors to our Software and are not the views, expressions and opinions of us as the operator of the Software. We can give no assurances or warranties regarding the accuracy, currency or applicability of any of the contents in relation to specific situations and particular circumstances and we do not suggest that it be used as a sole source of information.
Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or exemplary loss, or for loss of profit, revenue, data, use or goodwill, whether or not we have been advised of the possibility of such loss. This includes, for example, loss arising from the use of or inability to use the Software, the cost of procuring substitute goods or services, unauthorised access to or alteration of your transmissions or data, and errors or omissions in the Software, whether the claim is made in contract, tort or otherwise.
To the maximum extent permitted by law, our total liability arising out of or in connection with the Software is limited to the licence fees paid for the Software in the twelve (12) months before the event giving rise to the claim.
Nothing in these Terms and Conditions excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, and liability for fraud.
These limits mirror clause 10 of the End-User Licence Agreement, which governs the use of the Software and prevails in case of any conflict.
Indemnity
You will indemnify and defend us against all claims, liability, damages, costs and expenses, including legal fees, arising out of a breach of these Terms and Conditions or any use of the Software.
From the creator
By using our software, you acknowledge and accept these Terms and Conditions. You understand and agree that the use of the software is entirely at your own risk. The software may be used to control equipment and devices that, if misused or malfunctioning, could pose risks to both the environment and living or non-living entities.
You acknowledge that the software may contain bugs or unexpected behavior that could result in direct or indirect physical damage, serious injury, or death. We do not guarantee that the software will function as intended or as configured in your specific environment.
It is your sole responsibility to thoroughly test the software in your intended context before deploying or relying on it in any operational setting.
Critical Infrastructure
The Software is supervisory (HMI/SCADA) software. It is not a safety-instrumented system and is not certified as one. It must not be relied on as the sole means of protecting people, animals, the environment or physical property.
Where a malfunction or failure could cause harm, the installation must include independent safety and protection systems that do not depend on the Software. You remain responsible for the safe design and operation of your process, and for validating that the Software is suitable for your intended use before relying on it in production. This mirrors clause 8 of the End-User Licence Agreement.
Licensing Model
We offer two types of codes: License Codes and Upgrade Codes.
A License Code is used to activate the software on an individual device.
An Upgrade Code allows you to update an existing license to the latest version.
Upon activation of a License Code, the license becomes valid for all software versions released within the following 12-month period.
After this 12-month period, the license will continue to function with the most recent compatible version obtained during the validity period. To access newer versions beyond this period, you may apply an Upgrade Code.
Upgrade Codes may be used at any time, there is no requirement to upgrade immediately after the original license term expires. Applying an Upgrade Code will generate a new activation code for the same machine, which will again be valid for all releases within the subsequent 12 months.
Recommendation to Upgrade
We strongly recommend upgrading regularly to:
- Maintain compatibility with the latest versions of Windows
- Benefit from performance improvements
- Access new features
- Address any resolved cybersecurity vulnerabilities
License Restrictions
Licenses are, under all circumstances and in accordance with our policy, not intended for individual resale, whether online or offline.
Licences may only be distributed by authorized integrators or OEM partners, and exclusively in the context of installations or devices designated for their own end-users.
Any unauthorized resale or distribution constitutes a breach of these Terms and will result in legal action.
License Validity and Hardware Dependency
Each license is activated against the specific hardware on which it is installed, and remains valid for the lifetime of that device. If the operating system is reinstalled but the underlying hardware remains unchanged, the same license can be reused on that machine without issue. Binding the license to one machine is part of our pricing model, which aims to keep license costs low and accessible.
If the hardware is damaged, lost, stolen, altered, or replaced, the existing activation will stop being valid. This is permitted. Contact us and explain the situation, and where the reason is justified we will issue a new activation code for the same license, without requiring you to purchase a new one. Each situation is reviewed individually.
We recommend that End-Users, Integrators, and OEMs maintain at least one spare license to ensure continuity in case of unexpected incidents, so that a replacement machine can be commissioned immediately rather than waiting for a reissue.
Hardware Configuration and Computer ID
Licenses are bound to the hardware configuration of the computer on which they are activated. A significant modification to that computer may alter the Computer ID, and the existing activation will then stop being valid.
Changes that do not affect the Computer ID: increasing disk storage capacity, expanding RAM memory, replacing the power supply, and joining or leaving a workgroup or domain. Changes that do affect it: renaming the computer, changing the network adapters, and replacing essential components such as the motherboard.
If you need to make a change that affects the Computer ID, contact us and explain the situation. Where the reason is justified we will issue a new activation code for the same license, without requiring you to purchase a new one. Renaming a computer is the most common case and is easy to overlook, so plan the name before commissioning where you can.
Use in Virtualized Environments
Licenses may be installed on virtual machines, provided that the license is used on a single, clearly defined virtual instance. The use of our software within virtualized environments is permitted under the condition that the virtual machine is not copied, cloned, duplicated, exported, or in any other way replicated in a manner that results in the license being reused across multiple machines or deployments.
Any attempt to deploy the same licensed virtual machine on multiple hosts, networks, or environments, whether for backup, testing, development, production, or high-availability purposes—using the same activation key is strictly prohibited. This includes, but is not limited to, running multiple virtual machines from a shared image, using snapshotting to roll back and reactivate the license, or duplicating a pre-licensed virtual environment for distribution within a team or organization.
Each virtual machine must have its own unique activation and license, and licenses may not be transferred or reused across different instances. The virtualization of an operating system does not constitute an exception to the one-license-per-instance requirement.
Violations of this policy are considered a material breach of the Terms and Conditions and may result in immediate license termination, access revocation, and legal action, including claims for damages. We reserve the right to monitor, audit, and investigate license usage in virtualized environments if misuse is suspected, in accordance with applicable laws and privacy regulations.
License Validity and Expiry
Purchased licenses and upgrade codes do not expire and remain valid indefinitely. There is no time limit for their activation or use, provided they have not yet been assigned to a specific machine or used in conjunction with an existing license.
We recommend keeping at least one unused license in reserve, especially when preparing for future hardware changes, replacements, or new installations. This ensures operational continuity without delay or the need for urgent purchases.
License Ownership
All licenses are registered to the email address provided during the purchase process. This registration determines the legal owner of the license, whether it is an individual or a corporate entity. The person or organization associated with that email address is considered the sole license holder and is entitled to use, manage, and make decisions regarding the license.
Licenses are non-transferable by default. Any attempt to sell, assign, or otherwise transfer ownership of a license without prior written consent from us constitutes a breach of these Terms and Conditions and may result in the revocation of the license.
If a change of ownership is required, whether due to organizational restructuring, employee turnover, a change in legal entity, or other justifiable reasons, the license holder must contact us in writing with a formal request. We will evaluate each case individually and may approve or deny the transfer at our sole discretion.
Approval of an ownership change may require verification of the original purchase, identity confirmation, or additional documentation. Unauthorized transfers or attempts to bypass this policy may result in suspension of the license and associated services.
Policy
We reserve the right to update our licensing policy and adjust our prices at any time, without prior notice. Such changes may be influenced by evolving technical requirements, market conditions, or business needs.
That said, as an independent company, we are not driven by external shareholders or large corporate structures. It is not in our nature to implement abrupt or excessive price increases. Our objective is to maintain fair, transparent pricing and to build lasting, trust-based relationships with our users.
We are committed to supporting our customers over the long term and will make every reasonable effort to ensure that any changes to our licensing model or pricing remain balanced, responsible, and clearly communicated.
Technical Support
We understand that technical questions may arise, and we truly value the trust you place in our software. However, please note that technical support is not included in the license purchase and is not provided free of charge.
If you encounter an issue or need assistance, you are welcome to contact us. In many cases, we may be able to guide you or provide clarity. For more complex needs, we offer the possibility of engaging a qualified engineer to assist you further. This type of support is offered as a separate, paid service, and we will always do our best to be transparent about any associated costs before proceeding.
While we are committed to helping our users whenever possible, we are a small team and may not always be able to respond immediately. Therefore, we cannot guarantee availability, response times, or successful resolution of every issue.
That said, we deeply care about your experience and will approach each request with the attention and consideration it deserves. Your satisfaction matters to us, and even though our resources are limited, our intention is always to support you in a fair, honest, and respectful way.
Warranties
We warrant that, for ninety (90) days from first delivery, the software will materially perform in accordance with the documentation. Your sole remedy for a breach of this warranty is that we will use reasonable efforts to correct the non-conformity or provide a workaround. This warranty is set out in clause 9 of the End-User Licence Agreement, which governs your use of the software.
Except for that warranty, and to the maximum extent permitted by law, the software is provided "as is". We do not warrant that the software will meet your specific requirements, that it is fully compatible with any particular platform, that your use of it will be uninterrupted, timely, secure or error-free, that the results obtained from it will be accurate or reliable, or that all errors will be corrected.
Before committing to a license, users are strongly encouraged to evaluate the software using the available demonstration or trial mode. It is your responsibility to thoroughly test and validate the software in your specific environment to ensure it is suitable for your intended use. Due to the wide variety of hardware configurations, operating systems, and usage scenarios, we cannot offer a guarantee regarding compatibility, stability, or performance in all cases.
Nothing in these Terms and Conditions excludes or limits any right, guarantee or remedy that cannot be excluded or limited under the law applicable to you.
Cyber Security
We do not claim that our software is free from vulnerabilities or fully immune to cybersecurity threats. In reality, no software product (regardless of vendor) can ever be considered entirely secure. The nature of cybersecurity involves ongoing identification and resolution of both known and emerging risks.
Our approach focuses on minimizing risk by actively addressing known vulnerabilities and releasing timely patches and updates when necessary. We are committed to maintaining a responsible update cycle and to improving the software over time as new information becomes available.
However, the overall security of your system depends on a much broader context than the software alone. We strongly recommend that the software be deployed within environments that follow recognized cybersecurity best practices, particularly those outlined in the international IEC 62443 standard for industrial and control system security.

Refunds
All sales are final. We do not offer refunds, exchanges, or returns for any purchases, including licenses or upgrade codes, regardless of whether the license has been activated.
Before completing a purchase, we strongly encourage all users to evaluate the software using the available demonstration or trial mode to ensure it meets their expectations and technical requirements. The responsibility to validate compatibility and suitability lies solely with the purchaser.
By proceeding with a purchase, you acknowledge and accept that no refund will be provided under any circumstances. This policy allows us to maintain a transparent and sustainable pricing model, without recurring fees or license activation limitations.
If you are experiencing issues with the software or have concerns about functionality, please contact us. While we cannot offer refunds, we are always open to listening and assisting wherever reasonably possible.
Governing Law
These Terms and Conditions are governed by the laws of Belgium, and the courts of Antwerp, Belgium have exclusive jurisdiction, without prejudice to any mandatory consumer-protection laws that may apply where you are located. This matches clause 15 of the End-User Licence Agreement.
Relationship to the End-User Licence Agreement
These Terms and Conditions govern purchase, activation and support. The End-User Licence Agreement, which is presented for acceptance when the Software is installed, governs the use of the Software.
Where more than one document applies, they take effect in the following order of priority, the earlier prevailing over the later in case of conflict: a written agreement signed by you and us; the order or quotation you have accepted; the End-User Licence Agreement, in respect of the use of the Software; these Terms and Conditions, in respect of all other matters.
